1. Agreement
These Terms of Service ("Terms") govern your access to and use of the HumanCapital CXO® platform and HCV Model at humancapitalcxo.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Operator: Human Capital CXO, Inc., a Delaware corporation, 5319 University Drive #181, Irvine, CA 92612, USA.
Governing law: the laws of the State of Delaware, USA. Jurisdiction: the state and federal courts of the State of Delaware.
Mandatory consumer and data-protection rules of your country of residence are unaffected by this choice. Where the GDPR or the Swiss revDSG applies to our processing, it applies regardless of the governing law chosen here.
2. Accounts and Access
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account. Do not share credentials.
- Accounts are personal. Credentials may not be shared across multiple users except as expressly permitted in a written agreement.
- You must be at least 18 years old and have authority to bind your organisation to these Terms.
3. Access and Commercial Terms
Access to the Service is currently granted on an invitation basis, under the pilot programme or a separate written agreement. There is no self-service subscription, and no payment is taken through this website.
Where a pilot or advisory engagement is agreed, its scope, fees and duration are set out in that written agreement, which prevails over these Terms in the event of any conflict. These Terms will be updated before any paid self-service plan is offered.
4. HCV Model Licence
- The HCV Model, E(RVBER) methodology, software, and all content are protected by copyright and a pending patent (USPTO Provisional filed 21 August 2026, IPC G06Q 10/06; international filing strategy under review).
- Your subscription grants a non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes.
- You may not: copy, reverse-engineer, decompile, resell, sublicence, or use the Service to build a competing product.
- API access is granted only under Enterprise plans and subject to separate API terms.
- All outputs (E(RVBER) reports, PDF exports) may be used internally and in client deliverables, but must not be resold as standalone products without a white-label licence agreement.
- EU AI Act: Where you deploy the Service for HR or employment-affecting purposes in the EU, you acknowledge that the system may be classified as a high-risk AI system under EU AI Act 2024/1689, Annex III. You accept sole responsibility for completing any required conformity assessment, registration, and human oversight obligations applicable to your deployment context.
5. MBA Study Papers
- Individual paper and bundle purchases are final. No refunds after download.
- Papers are licensed for personal and internal professional use only. Redistribution, resale, or classroom use beyond your own organisation requires an Organisation Licence.

6. Acceptable Use
You must not use the Service to:
- Make automated adverse employment decisions without human oversight (see Responsible Use Policy and EU AI Act Art. 14)
- Process personal data in violation of applicable privacy law, including GDPR, Swiss nDSG, and any other applicable national law
- Deploy the platform as a high-risk AI system under EU AI Act Annex III without completing the required conformity assessment and registration
- Attempt unauthorised access to any system, account, or data
- Transmit malware, spam, or fraudulent content
- Violate any applicable law or third-party rights
7. Disclaimer and Limitation of Liability
The HCV Model provides indicative estimates based on inputs you supply. Outputs are not financial advice, legal advice, or audited valuations. We make no warranty as to accuracy or fitness for any particular purpose.
To the maximum extent permitted by Delaware law, our total liability for any claim arising from these Terms or use of the Service is limited to the fees paid by you under the applicable written agreement in the 12 months preceding the claim, or CHF 1,000 where no fees have been paid. We are not liable for indirect, consequential, or punitive damages.
8. Termination
- You may close your account at any time from your account settings.
- We may suspend or terminate accounts that breach these Terms, with notice where practicable.
- On termination, your access ends. We retain your data for the periods set out in the Privacy Notice.
9. Changes to Terms
We will notify you by email of material changes at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. We recommend reviewing these Terms periodically.
